OUR PROMISE TO YOU

Subsciptions are for a minimum of one year. The monthly price at the time of your subscription will remain your monthly price through the entire duration of your subsciption; as we improve our program, you will reap the advantages of the monthly subscription program at no additional cost. 

LICENSE FOR USE

Under these terms, all subscribers agree to restrict use of private MyHIPAA Guide login information to a single medical practice, or a single unit of a hospital or other large organization.  Discounts are available to hospitals and large organizations with needs for multiple users.  For those subscribing to our Total Privacy Plan for Skilled Nursing Homes:  One subscription is limited to a single nursing home facility.  Discounts are available to providers with multiple facilities. 

REFUND POLICY

Subscriptions to MyHIPAA Guide are non-refundable, except in rare cases when a subscriber can demonstrate an inadvertent error in processing a duplicate payment.  The reason for this policy is to protect against any users who would quickly duplicate resources that we spent untold hours compiling.

SUBSCRIPTION RENEWALS

Those who subscribe for two years will have a renewal rate based off the second year, discounted rate. 

ACCEPTABLE USE POLICY: (AUP)

Subscriber agrees to use our services under the Acceptable Usage Policy which is hereby incorporated with this agreement. Subscriber agrees that M.E.D. Media Mart LLC holds the right to change AUP at any time to meet web hosting standards and laws. Amendments to the AUP are effective on the earlier of M.E.D. Media Mart LLC notice to subscribers that an amendment has been made, or the first day of any Renewal Term that begins subsequent to the amendment. Subscriber agrees to cooperate with M.E.D. Media Mart LLC in the reasonable investigation of any suspected violation of the AUP. In the event of a dispute between M.E.D. Media Mart LLC and Subscriber regarding the interpretation of the AUP, M.E.D. Media Mart LLC’s’ commercially reasonable interpretation of the AUP shall govern.

For those storing documents in MyHIPAA Guide’s Trunk Document storage on our website and is designed for subscriber convenience. No protected health information is to be stored under any circumstances via this service and MyHIPAA Guide will not be held liable or responsible in the event subscribers violate this policy. Subscribers who utilize the Trunk should also have a secondary back-up of their information to protect against unforeseen circumstances.

SUBSCRIBER INFORMATION

Subscriber represents and warrants to M.E.D. Media Mart LLC that the information he, she or it has provided and will provide for purposes of establishing and maintaining the service is accurate. If Subscriber is an individual, Subscriber represents and warrants that he or she is at least 18 years of age, that M.E.D. Media Mart LLC may rely on the instructions of the person listed as the Primary Customer Contact on the Order with regard to Customer’s account until Customer has provided a written notice changing the Primary Customer Contract.

INDEMINFICATION

Customer agrees to indemnify and hold harmless M.E.D. Media Mart LLC, and its affiliates, including Shoo.in Company LLC and any other affiliates, and any of the three named companies’ respective officers, directors, agents, and employees from and against any and all claims, demands, liabilities, obligations, losses, damages, penalties, fines, punitive damages, amounts in interest, expenses and disbursements of any kind and nature whatsoever (including reasonable attorney’s fees) brought by a third party under any theory of legal liability arising out of or related to the actual or alleged use of Subscriber’s services in violation of applicable law or the AUP by Customer or any person using Customer’s log on information, regardless of whether such person has been authorized to use the services by Customer. MyHIPAA Guide can in no way guarantee HIPAA compliance and cannot be held liable for non-compliance of HIPAA rules.

SUBSCRIBER AGREES TO INDEMNIFY AND HOLD HARMLESS MyHIPAA GUIDE, M.E.D. Media Mart and Shooin Company LLC AGAINST LIABILITIES ARISING OF:
(1) ANY INJURY TO PERSON OR PROPERTY CAUSED BY ANY INFORMATION DISTRIBUTED IN CONNECTION WITH MyHIPAA GUIDE;
(2) ANY MATERIAL SUPPLIED BY THE SUBSCRIBER INFRINGING OR ALLEGEDLY INFRINGING ON THE PROPRIETARY RIGHTS OF A THIRD PARTY;
(3) COPYRIGHT INFRINGEMENT, AND,
(4) ANY INACCURATE INFORMATION POSTED IN MyHIPAA FORUMS, OR POSTED IN ERROR BY MyHIPAA GUIDE.

DISCLAIMER OF WARRANTIES

M.E.D. Media Mart does not warrant or represent that the services will be uninterrupted, error free, or completely secure.

LIMITATION OF DAMAGES

Neither party shall be liable to the other for any lost profits or any indirect, special incidental, consequential or punitive loss or damage of any kind, or for damages that could have been avoided by the use of reasonable diligence, arising in connection with the agreement, even if the party has been advised or should be aware of the possibility of such damages.

Notwithstanding anything else in the agreement to the contrary, the maximum aggregate liability of M.E.D. Media Mart and any of its employees, agents or affiliates, under any theory of the law (including breach of contract, tort, strict liability and infringement) shall be a payment of money not to exceed the amount payable by customer for the three months service.

SUSPENSION OF SERVICES/TERMINATION

Subscriber agrees that M.E.D. Media Mart LLC may suspend services to Subscriber without notice and without liability if: (i) M.E.D. Media Mart LLC reasonably believes that the services are being used in violation of the AUP; (ii) Subscriber fails to cooperate with any reasonable investigation of any suspected violation of the AUP; (iii) M.E.D. Media Mart LLC reasonably believes that the suspension of service is necessary to protect its network or its other subscribers, or (iv) as requested by a law enforcement or regulatory agency.

If you break our terms of service/acceptable usage policy we hold the right to cancel any services. We will never cancel any services without trying our best to resolve the problem with you. However in extreme cases, such as an account containing child pornography, we hold the right to cancel services without any prior warning. We do not refund any accounts breaking our terms of service/acceptable usage policy.

MAJOR FORCE ACTIVITY

M.E.D. Media Mart LLC, and its publications MyHIPAA Guide, shall not be in default of any obligation under the Agreement if the failure to perform the obligation is due to any event beyond reasonable control, including, without limitation, significant failure of a portion of the power grid, significant failure of the Internet, natural disaster, war, riot, insurrection, epidemic, strikes or other organized labor action, terrorist activity, or other events of a magnitude or type for which precautions are not generally taken in the industry.

GOVERNING/LEGAL DISPUTES

The Agreement shall be governed by the laws of the State of Ohio, and the laws of the United States of America, as applicable.

INTELLECTUAL PROPERTY RIGHTS

Material accessible through MyHIPAA Guide may be subject to protection under the United States or other copyright laws, or laws protecting trademarks, trade secrets and proprietary information. Except when expressly permitted by the owner of such rights, Subscriber must infringe, violate, dilute or misappropriate any such rights, with respect to any material that you access or receive through MyHIPAA Guide.
